Entrata Doors Terms and Conditions Guideline

Read this first
This is a working guideline, not a finished contract. It has three parts:
1. Indiana-required items for every home project over $150. This is mandatory, not optional.
2. Sample customer terms to attach to every estimate you send for signature.
3. Sample website terms of use. These are short and low-risk. No law requires them, but they set basic rules for your site.
The biggest finding: your reservation fee process probably needs to change.
Your website says customers pay a reservation fee once they approve the estimate. Under Indiana law:
• You must sign first. Entrata Doors must sign the contract before the customer signs and before you can require any down payment (IC 24-5-11-11).
• Every customer gets three business days to cancel. For contracts signed after June 30, 2017, the customer may cancel within three business days of signing, and you must return any payment or deposit within ten days (IC 24-5-11-10.6).
In practice:
• A Jobber quote approval plus a card payment probably does not meet these rules on its own. Use a signed contract with the required notices attached.
• The reservation fee cannot be non-refundable during the three-day window.
• Do not order custom doors until the three days have passed.
Certainty: high on what the statute says. Medium on whether your current Jobber flow falls short. Have your attorney review it.
Why this matters: a violation counts as a deceptive act under Indiana’s consumer sales law, which can expose you to damages and attorney’s fees (Towne Post / Torch Indy). Courts can also refuse to enforce a noncompliant contract (PSRB).
Open items for your attorney
• ☐ Confirm the reservation fee amount and what happens to it if the customer cancels after the three-day window.
• ☐ Decide on an arbitration clause and a cap on liability (left out of this draft).
• ☐ Confirm whether builder and designer contracts need a separate trade version.
• ☐ Confirm your workmanship warranty length (shown as [1 year]).
• ☐ Confirm whether pre-1978 homes require lead-safe practices on your jobs (likely yes for door replacement).
Part 1: Indiana-required contract checklist
Every residential project contract over $150 must include the items below (IC 24-5-11-10). Build them into your estimate or contract template so each one fills in automatically.
In every contract
• ☐ Customer’s name and the address of the property
• ☐ Entrata Doors, LLC’s name, address and email (info@entratadoors.com)
• ☐ Name, phone and email of each person customers can contact with problems or questions
• ☐ Date the contract was given to the customer, and any deadline to accept it
• ☐ A reasonably detailed description of the work
• ☐ If full specifications aren’t included: a statement that they will be provided before work starts and need the customer’s separate signed, dated approval
• ☐ Approximate start and completion dates
• ☐ Contingencies that could materially change the completion date (such as manufacturer lead times)
• ☐ The contract price, showing the full price less any discounts
• ☐ A statement of whether subcontractors, vendors or others will supply labor or materials (yes, for you)
• ☐ Signature lines with each person’s printed name beneath, and the dates each party signed
Process rules
• ☐ Give the completed contract to the customer before they sign
• ☐ Entrata Doors signs first, before the customer signs and before any payment is required
• ☐ Give the customer a fully signed copy immediately
• ☐ Put every change order in writing, signed by the customer. Unsigned changes cannot be enforced against them.
• ☐ Make work conditional on getting any required permits
Right-to-cancel notice
Include this statement in the contract, and attach a detachable “NOTICE OF CANCELLATION” form in duplicate, in at least 10-point bold type (IC 24-5-11-10.6). Use the exact statutory wording below.
You may cancel this contract at any time before midnight on the third business day after the later of the following: (A) The date this contract is signed by you and Entrata Doors, LLC. (B) If applicable, the date you receive written notification from your insurance company of a final determination as to whether all or any part of your claim or this contract is a covered loss under your insurance policy. See attached notice of cancellation form for an explanation of this right.
The detachable form must tell the customer they can cancel by mail, delivery or email to 5771 Park Plaza Ct, Indianapolis, IN 46220 or info@entratadoors.com, and that payments will be returned within ten business days. Copy the form’s text word for word from the statute linked above.
Part 2: Sample customer terms
Attach these to every estimate sent for signature. Bracketed items are placeholders to confirm.
1. Estimates
Estimates are valid for [30] days from the date issued. Prices are based on the sizes, products and options listed. If any of these change, or if final measurements differ from those in your consultation, we will issue a revised estimate or a written change order before proceeding.
2. Reservation fee and payments
• A reservation fee of [amount or %] is due once both parties have signed this contract. It secures your place in our schedule and is credited toward your contract price.
• [A second payment of X% is due before we place your order with the manufacturer.]
• The balance is due on completion of installation.
• We accept payment through our online invoicing system. [Late payments may incur a fee of X% per month, as permitted by law.]
3. Your right to cancel
You may cancel this contract within three business days as explained in the attached Notice of Cancellation, and we will refund all payments within ten business days. We will not order custom products until this period has ended.
4. Cancellation after three business days
Doors and windows are made to order for your home and usually cannot be returned. If you cancel after the three-day period:
• Before we order your products: we will refund your payments less [the reservation fee / our documented costs to date].
• After we order your products: you are responsible for the cost of the ordered products and any non-refundable charges from the manufacturer, plus work already performed. We will deliver the products to you on request.
Attorney note: a flat non-refundable fee is riskier than charging documented costs. Confirm which approach is enforceable here.
5. Measurements and specifications
We confirm final measurements on site before ordering. If your contract does not include full specifications, we will send them before work begins, and the order will not be placed until you approve them in writing with your signature and date. Please review colors, finishes, glass, hardware and swing direction carefully. Custom products are built exactly as approved.
6. Lead times and scheduling
The approximate start and completion dates are shown on your contract. These dates can change for reasons outside our control, including:
• Manufacturer production or shipping delays
• Products arriving damaged and needing replacement
• Weather unsuitable for exterior installation
• Permit or inspection timing
• Hidden conditions discovered during installation (see Section 8)
We will tell you promptly about any delay and give you a revised date.
7. Changes to your project
Any change to the products, scope or price must be in a written change order signed by you before we proceed. Changes after your order is placed may add cost and delay.
8. Site conditions and installation
Before installation, please:
• Clear a work path and the area around each opening
• Remove window treatments, wall hangings and fragile items near the work area
• Provide access to electricity, and secure pets and children away from the work area
Hidden conditions. Rot, water damage, structural problems or out-of-square openings are sometimes found only after the old door or window is removed. If we find one, we will stop, show you, and give you a written change order for the repair before continuing.
Older homes. If your home was built before 1978, we follow EPA lead-safe work practices, and you will receive the required lead pamphlet before work begins.
Finishing work. Unless your contract says otherwise, installation does not include painting or staining of surrounding walls and trim, alarm system adjustments, or repairs to existing finishes beyond the immediate opening. New products may not exactly match weathered existing finishes.
Cleanup. We remove and dispose of old doors, windows and installation debris unless you ask us to leave them.
9. Warranties
• Products are covered by the manufacturer’s warranty, which we will give you at completion. We will help you file manufacturer warranty claims.
• Installation: we warrant our workmanship for [1 year] from completion. If a problem results from our installation, we will repair it at no charge.
• Not covered: normal wear; damage from misuse, accidents, weather events or settling of the home; finishes or alterations done by others; and failure to follow the manufacturer’s care instructions (for example, sealing or refinishing wood doors).
• Wood doors are natural products. Variations in grain and color, and seasonal movement, are normal and not defects.
10. Inspection and punch list
We will walk through the finished work with you. Please note any concerns at that time, or within [7] days of completion, so we can address them promptly.
11. Unpaid balances
Title to products passes to you on full payment. If a balance remains unpaid, we may use any remedy available under Indiana law, including a mechanic’s lien on the property.
12. Limits of liability
We are responsible for damage caused by our negligence during installation. We are not responsible for delays or losses caused by events outside our reasonable control.
Attorney note: decide whether to add a dollar cap on liability or an arbitration clause. Both were left out on purpose.
13. Photos
We may photograph your project for our records. We will use photos in marketing only with your separate written permission.
14. General terms
• Entire agreement: this contract, the attached specifications and any signed change orders are the whole agreement.
• Governing law: Indiana law governs this contract. Disputes will be handled in the courts of Marion County, Indiana.
• Severability: if any part is found unenforceable, the rest remains in effect.
